Payment Terms

Effective Date: September 25, 2026

These Payment Terms govern all fees payable to Orenyx Labs, LLC, a Wyoming limited liability company d/b/a Orenyx (“Orenyx,” “we,” “us,” or “our”), in connection with Orenyx NIL Engine (the “Service”). These Payment Terms are incorporated into, and form part of, the Orenyx NIL Engine Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service.

1. Packages and Fees

Brands purchase access to the Service through one of three fixed monthly packages: Bronze at $99 per month (one defined deliverable), Silver at $249 per month (two defined deliverables), and Gold at $499 per month (three defined deliverables). Each package includes the deliverables and workflow features described on the Packages page of the Service.

Athletes, agents, and Schools are not charged a fee to use the Service unless a separate fee is clearly disclosed in the Service or in a signed order form before any charge is made.

Current package prices, included deliverables, and features are set out on the Packages page of the Service or in a signed order form and are incorporated into these Payment Terms by reference.

2. Billing and Payment Processing

All payments to Orenyx are processed through Stripe, Inc. (“Stripe”). By making a payment, you agree to Stripe’s applicable terms. Orenyx does not collect or store raw payment card data.

Package fees are billed monthly in advance and are charged automatically to the payment method on file until the package is cancelled in accordance with these Payment Terms.

3. Upgrades, Downgrades, and Cancellation

Package upgrades take effect immediately, and the revised fee applies on the next invoice. Downgrades take effect at the start of the next billing cycle following the request.

Packages renew automatically each month at the then-current fee unless cancelled before the renewal date through the account cancellation process made available within the Service. You may cancel at any time; cancellation takes effect at the end of the then-current billing period, and no partial-period credit is issued except as required by the Orenyx NIL Engine Refund Policy.

4. Taxes

All fees are exclusive of applicable sales, use, value-added, or similar taxes. You are responsible for all such taxes, other than taxes on Orenyx’s net income, associated with your use of the Service.

5. Late Payment and Failed Payments

If a payment fails or is not received when due, Orenyx may suspend access to the Service until payment is received, and may charge interest on overdue amounts at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law. Orenyx may also pursue collection of unpaid amounts, including recovery of reasonable collection costs.

6. Disputed Charges

You must notify Orenyx of any disputed charge, within thirty (30) days of the applicable invoice or charge date. Orenyx will review timely disputes in good faith. Failure to timely dispute a charge constitutes a waiver of any objection to that charge. Chargebacks or payment reversals initiated with Stripe or your card issuer without first pursuing this process may result in suspension of your account.

7. Fee Changes

Orenyx may change its package prices or pricing structure at any time. For current subscribers, price changes take effect at the start of the next billing period following notice; Orenyx will provide reasonable advance notice of material price increases through the Service or by email.

8. Refunds

Refunds, if any, are governed exclusively by the Orenyx NIL Engine Refund Policy.

9. Payments Between Athletes and Brands

Orenyx does not process, hold, or guarantee payment for the underlying Deal compensation owed by a Brand to an Athlete. Such payment is a matter solely between the Athlete and the Brand, and Orenyx bears no responsibility for non-payment or late payment of Deal compensation by a Brand.
