This Disclaimer applies to your use of Orenyx NIL Engine, including the website located at orenyxnilengine.com and related services (the “Service”), operated by Orenyx Labs, LLC, a Wyoming limited liability company d/b/a Orenyx (“Orenyx,” “we,” “us,” or “our”). This Disclaimer is incorporated into, and forms part of, the Orenyx NIL Engine Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service.

1. No Legal, Regulatory, or Compliance Advice

Orenyx provides tools to support tracking and reporting of NIL Deals, including reporting to the NCAA’s NIL Go system, as a convenience. Nothing on the Service constitutes legal, regulatory, tax, or compliance advice, and Orenyx does not act as legal counsel, a compliance officer, or an agent for any Athlete, Brand, or School. Each User remains solely responsible for its own compliance with NCAA rules, School policies, and applicable law, and should consult qualified legal counsel regarding any such matter.

2. No Guarantee of Regulatory Compliance

Orenyx does not warrant or guarantee that use of the Service, or any compliance report generated or supported by the Service, will satisfy NCAA rules, NIL Go reporting requirements, or any other regulatory obligation applicable to an Athlete, Brand, or School. Accuracy of any compliance report depends on the accuracy of information submitted by Users, for which Orenyx is not responsible.

3. Marketplace Facilitator; Not a Party to Deals

Orenyx is a technology platform that facilitates the posting, discovery, and acceptance of fixed-package NIL Deals. Orenyx is not a party to any NIL Deal formed between an Athlete and a Brand, is not an athlete agent or marketing representative, and does not review, negotiate, or approve the substantive terms of any Deal beyond the fixed-package structure it makes available. Orenyx makes no representation or warranty regarding the conduct, reliability, or performance of any Athlete or Brand.

4. No Guarantee of Deal Performance

Orenyx does not guarantee that a Brand will honor an accepted Deal, that an Athlete will complete associated deliverables, or that any Deal will result in a particular outcome. Any dispute regarding non-performance, deliverable quality, or payment of Deal compensation is a matter solely between the Athlete and the Brand.

5. Script and Content Guidance

Any script or content guidance provided in connection with a Deal is informational only, does not constitute legal, eligibility, or compliance advice, and does not guarantee that resulting content will satisfy a Brand’s expectations, NCAA rules, or any other requirement.

6. “as Is” Service

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AS FURTHER SET OUT IN SECTION 12 OF THE ORENYX NIL ENGINE TERMS OF SERVICE.

7. Third-party Services

The Service relies on third-party services, including Stripe, Inc. for payment processing. Orenyx is not responsible for the acts, omissions, or availability of any third-party service.
