API Terms

These API Terms govern access to and use of any application programming interface, webhook, or similar programmatic integration made available by Orenyx Labs, LLC, a Wyoming limited liability company d/b/a Orenyx (“Orenyx,” “we,” “us,” or “our”), in connection with Orenyx NIL Engine (the “API”), including for Schools and Brands integrating Deal, roster, or compliance-tracking data with their own systems. These API Terms are incorporated into, and form part of, the Orenyx NIL Engine Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service. Access to the API is offered at Orenyx’s discretion and may not be available to all Users or on all account tiers.

1. Eligibility and Access

API access is limited to Users eighteen (18) years of age or older who have been granted API credentials by Orenyx. Orenyx may condition API access on execution of a separate order form, approval of an integration use case, or a specific account tier.

2. Api Keys and Authentication

You are responsible for maintaining the confidentiality of all API keys and credentials issued to you and for all activity that occurs using those credentials. You must notify Orenyx promptly of any suspected compromise of an API key, and Orenyx may revoke or rotate a compromised key at its discretion.

3. Rate Limits and Availability

Orenyx may impose rate limits, quotas, and other technical restrictions on API usage, which may vary by account tier and may change from time to time. Orenyx does not guarantee any particular level of API availability, and Section 12 (Disclaimers) of the Terms of Service applies to the API.

4. Acceptable Use of the Api

You must use the API only for its intended purpose of integrating your own systems with permitted Deal, roster, or compliance-tracking data to which you have legitimate access. You must not use the API to: (a) exceed applicable rate limits or attempt to circumvent them; (b) access data belonging to another User without authorization; (c) reconstruct, resell, or redistribute Orenyx’s underlying data set to third parties beyond your own permitted use case; (d) probe, scan, or attempt to breach the security of the API or underlying infrastructure; or (e) otherwise violate the Orenyx NIL Engine Acceptable Use Policy, which applies to API use in addition to use of the Service generally.

5. Your Integration; Liability

You are solely responsible for your own applications, systems, and integrations built using the API, including their compliance with applicable law. Orenyx is not responsible for any loss, error, or liability arising from your integration’s misuse of the API, defects in your own implementation, or your integration exceeding intended use of API data. The limitation of liability and indemnification provisions of the Terms of Service apply fully to API use.

6. Data Received Via the Api

Data made available to you through the API remains subject to the Orenyx NIL Engine Privacy Policy and, where applicable, a Data Processing Addendum between you and Orenyx. You must handle any Personal Data received via the API in compliance with applicable law and may not use it for any purpose beyond your authorized integration.

7. Suspension and Termination

Orenyx may suspend or revoke API access at any time, with or without notice, including for a suspected violation of these API Terms, the Acceptable Use Policy, or the Terms of Service, or for technical or security reasons.

8. Changes to the Api

Orenyx may modify, deprecate, or discontinue the API, or any endpoint or feature of it, at any time. Orenyx will use commercially reasonable efforts to provide advance notice of material changes that are likely to break existing integrations.
